Terms of Use

1. Acceptance of Terms

By accessing or using Zari ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service. The Service is operated by Smith Medical, P.C. (D-U-N-S 045394495) ("we", "us", "our").

2. Description of Service

Zari is an AI-powered companion application that provides conversational AI, persistent memory, text-to-speech voice features, and multilingual support across 16 languages. Zari is designed to support emotional reflection, journaling, and companionship. Zari is not a substitute for professional medical, psychological, legal, or financial advice.

3. Eligibility & User Accounts

• You must be at least 18 years old to create an account or use the Service. We confirm your age at sign-up.
• You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
• You must provide accurate information during registration and keep it up to date.
• One person may not maintain more than one account.
• We reserve the right to refuse service, terminate accounts, or remove content at our discretion.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any laws
• Attempt to exploit, harm, or manipulate the AI system or its outputs
• Share content depicting or promoting harm to yourself or others
• Share content that is harassing, threatening, hateful, or sexually explicit involving minors
• Reverse engineer, decompile, disassemble, or attempt to extract source code from the Service
• Use automated systems, scrapers, or bots to access the Service
• Impersonate another person or entity, or misrepresent your affiliation
• Attempt to bypass rate limits, payment, or access controls
• Use the Service to develop competing products or train other AI models

5. AI Limitations & Disclaimers

Zari is an artificial intelligence service powered by large language models. Responses are generated by AI and may be inaccurate, incomplete, biased, or inappropriate. You acknowledge and accept the following limitations:

You are solely responsible for any decisions you make based on Zari's output. Verify important information from authoritative sources before acting on it.

6. Zari Plus Subscription

Zari offers an optional paid tier ("Zari Plus") with additional features such as expanded daily message limits, longer memory, and premium voice options. By subscribing you agree to the following:

• Billing: Subscriptions auto-renew monthly or annually at the price disclosed at checkout. Payment is processed by Stripe.
• Free trial: New users may receive a free trial of Plus features. The trial converts to a paid subscription unless cancelled before it ends.
• Cancellation: Cancel any time via Settings → Manage Subscription or by contacting support@zari.help. Cancellation takes effect at the end of the current billing period; no partial refunds for unused time.
• Price changes: We will notify you at least 30 days before any price increase. Continued use after the change means you accept the new price.
• Refunds: Subscription fees are non-refundable except where required by law.

7. Your Content

Conversations, memories, and journal entries you create remain yours. You grant us a limited license to process them solely for the purpose of providing the Service (sending them to our AI providers, storing them in our database, displaying them back to you). We do not sell your content. You can export or delete your data at any time via Settings.

8. Intellectual Property

The Zari name, logo, design, prompts, and underlying technology are the intellectual property of Smith Medical, P.C. and its licensors. Nothing in these Terms grants you any right or license to use them outside of the Service.

9. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMITH MEDICAL, P.C., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless Smith Medical, P.C. and its affiliates from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or for any lawful reason. You may delete your account at any time through Settings; upon deletion we remove your data within 30 days, subject to legal retention obligations.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service shall be resolved first through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration administered by JAMS in New York County, NY, under its Comprehensive Arbitration Rules, except that either party may bring an individual action in small-claims court. You waive any right to participate in a class action.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms here with a new "Last updated" date and, for material changes, provide notice via email or in-app notification. Continued use of the Service after changes constitutes acceptance.
